1. Agreement to Terms

By accessing or using NippyListings ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. The Service is operated by NippyListings Ltd ("we", "us", or "our").

2. Description of Service

NippyListings is an AI-powered property listing generation service designed for estate agents and property professionals in the United Kingdom. The Service provides:

• AI-generated property descriptions based on information you provide
• Photo analysis to identify property features
• Listings optimised for major UK property portals
• Social media content generation
• Listing history and management tools

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorised access

You must be at least 18 years old to create an account and use the Service.

4. Subscription Plans and Payment

4.1 Plans

We offer various subscription plans with different features and limits. Current plans and pricing are available on our pricing page. We reserve the right to modify plans and pricing with reasonable notice.

4.2 Billing

Paid subscriptions are billed in advance on a monthly basis. All fees are in British Pounds Sterling (GBP) and are exclusive of VAT, which will be added where applicable.

4.3 Payment Processing

Payments are processed securely through Stripe. By providing payment information, you authorise us to charge the applicable fees to your payment method. You are responsible for providing valid payment information.

4.4 Refunds

We offer a 14-day money-back guarantee on all paid plans. If you are not satisfied with the Service, contact us within 14 days of your initial purchase for a full refund. Refunds are not available after this period or for subsequent billing cycles.

4.5 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription will remain active until the end of your current billing period. No refunds are provided for partial months.

5. Acceptable Use

You agree not to use the Service to:

• Generate false, misleading, or fraudulent property listings
• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorised access to the Service
• Interfere with or disrupt the Service or servers
• Scrape, crawl, or harvest data from the Service
• Use the Service for any purpose other than property listing generation
• Share your account credentials with others (except authorised team members)
• Resell or redistribute the Service without authorisation

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of all property information, photos, and other content you upload to the Service ("Your Content"). By uploading content, you grant us a non-exclusive, worldwide licence to use, process, and store Your Content for the purpose of providing the Service.

6.2 Generated Content

You own the property listings and descriptions generated for you by the Service. You are free to use, modify, and publish this content for your business purposes. You are responsible for reviewing generated content for accuracy before publication.

6.3 Our Intellectual Property

The Service, including its design, features, and underlying technology, is owned by NippyListings Ltd and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service without our permission.

7. AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate property listings. While we strive for accuracy:

• AI-generated content may contain errors or inaccuracies
• You are responsible for reviewing and verifying all generated content
• You must ensure listings comply with property advertising regulations
• We do not guarantee that generated content will be suitable for all purposes
• You should not rely solely on AI output without human review

You acknowledge that AI technology is evolving and may not always produce perfect results.

8. Property Advertising Compliance

As an estate agent or property professional, you are responsible for ensuring that property listings created using our Service comply with:

• The Property Misdescriptions Act 1991 (as applicable)
• Consumer Protection from Unfair Trading Regulations 2008
• Advertising Standards Authority (ASA) guidelines
• Estate Agents Act 1979
• Requirements of property portals (Rightmove, Zoopla, etc.)
• Any other applicable laws and regulations

NippyListings is a tool to assist with listing creation. We do not verify the accuracy of property information you provide or the claims made in generated listings.

9. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" without warranties of any kind, either express or implied
• We do not warrant that the Service will be uninterrupted, secure, or error-free
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for any losses resulting from reliance on AI-generated content

These limitations apply regardless of the legal theory on which the claim is based.

10. Indemnification

You agree to indemnify and hold harmless NippyListings Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Property listings you create or publish
• Any misrepresentation in your property information

11. Termination

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms. Upon termination:

• Your right to use the Service will immediately cease
• You may request a copy of your data within 30 days
• We may delete your account and all associated data after 30 days
• Provisions that by their nature should survive will remain in effect

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NippyListings Ltd regarding your use of the Service, superseding any prior agreements.
